Sole Practitioner / Instructor / Facilitator Agreement

Soul Focus Coaching & Wellness, LLC and Soul Focus Studio (hereafter “the Studio”) is committed to creating a positive experience for all instructors, facilitators, practitioners and participants in our workshops and wellness offerings.  The quality of our programs and offerings plays a fundamental role in our success.


It is the passion and commitment of Soul Focus Studio and its non-employee sole practitioners, instructors and facilitators that makes this a special place for women seeking growth, empowerment, and balance through community and wellness offerings.


As non-employee sole practitioners, instructors, and facilitators utilizing the Studio space, you are serving as representatives of the Studio, so I ask that the non-employee sole practitioners, instructors and facilitators abide by our established code of professional ethics.

Professional Ethics

  • Treat all participants equally and with respect.

  • Protect the confidentiality of course participants by preserving their anonymity when discussing the program or offering with others.

  • Ensure that participants respect the privacy of others by establishing “class” guidelines including agreeing not to name names of participants when discussing the program.

  • Reinforce confidentiality guidelines when necessary.

Sole Practitioner/Instructor/Facilitator Eligibility & Expectations

Our belief is that empowered women, empower women. Our hope is that by allowing non-employee sole practitioners who are looking for a space to rent in order to offer their services and other like-minded individuals to hold workshops and wellness events at the Studio, we will create a space where women come to find growth, empowerment, and balance. Our first preference is always given to a collaborative sole practitioner who is renting our private office or spa treatment room but others who would like to hold a workshop or wellness event that would benefit our collective clients and customers are welcome at the owner’s discretion.


We expect that anyone who is holding a workshop or wellness event at the Studio will spread the word not only about their event but about the mission of the Studio. The more women in our community, the more opportunities for growth and connection for all.

We will happily post and talk about upcoming events and offerings but expect the Sole Practitioner/Instructor/Facilitator to do the same on their social platforms.


As the Studio is a space for growth, empowerment, and balance, we expect all Sole Practitioners/Instructors/Facilitators to create an open and welcoming environment in which individuals feel comfortable expressing their ideas and are encouraged to work together with other participants for optimum enjoyment and success.

Scheduling / Cancellations

Workshops and events are scheduled at the owner’s discretion and due to unforeseen circumstances may be cancelled or rescheduled from time-to-time. If the Sole Practitioner/Instructor/Facilitator needs to cancel a workshop or wellness event, they are asked to speak with the owner prior to doing so. If the Sole Practitioner/Instructor/Facilitator cancels more than two times in a row, the owner has the right to bill the Sole Practitioner/Instructor/Facilitator at the hourly rental rate for the Studio for cancelled time.



While we prefer a minimum of 5 participants for an event or wellness offering, we are open to fewer participants after a conversation with the Sole Practitioner/Instructor/Facilitator if it make sense for the Studio and the Sole Practitioner/Instructor/Facilitator. The Studio reserves the right to cancel the class, notifying the Sole Practitioner/Instructor/Facilitator and the registered participants and without payment obligation to the Sole Practitioner/Instructor/Facilitator.

Investment Model

The Sole Practitioner/Instructor/Facilitator may rent the Studio to host a workshop or wellness event for the investment of $100.00 per hour, $300.00 for a half day or $500.00 for a full day or for an investment split of 30%-70% (Studio - Sole Practitioner/Instructor/Facilitator).


If you are running an event with more than one Sole Practitioner/Instructor/Facilitator and choose the investment split model, the Studio will receive 30% and the remaining 70% will be divided among the Sole Practitioner/Instructor/Facilitator team.


If you are running an event or workshop with the Studio owner the investment split model will be 50%-50% (Studio – Sole Practitioner/Instructor/Facilitator) after expenses.


The Studio owner and/or whomever is hosting the event as the Studio representative will be allowed to participate in the workshop or wellness event at no charge.

Contact Information

Sole Practitioners/Instructors/Facilitators are required to have a current cell phone and email address on file with the Studio so that they can receive and reply to communications in a timely manner.

Promote a Supportive Environment

Sole Practitioners/Instructors/Facilitators are asked to create an open and welcoming environment in which individuals feel comfortable expressing their ideas and are encouraged to work together with others to deliver exceptional experiences.

Class Scheduling

Classes are scheduled based on the Studio owner’s mission to provide a space for women and all to come together in community for growth, empowerment, and balance. Schedules are subject to change at any time. Sole Practitioners/Instructors/Facilitators are expected to help promote their programs and encourage increased participation in all classes. Please honor your commitment to teach the classes on the dates and times scheduled.

Class Cancellations

Sole Practitioners/Instructors/Facilitators are asked not to cancel classes without first speaking to the Studio owner. We need to make this decision together.


  • Weekly Classes or those offered on an ongoing basis – In the case of classes that are on the Studio schedule as an ongoing offering, like yoga and meditation, we ask the Sole Practitioner/Instructor/Facilitator to give the class at least four to six weeks to build momentum before asking to take the class off of the schedule.

One-on-One Wellness Services

Sole Practitioners can rent our private office or spa/treatment room for $44 for a ½ day or $88 for a full day. (Hourly options will be considered on an individual basis.) Daily rentals are non-refundable and paid in advance of use. Preference is given to those who are looking to make a weekly commitment for the same day and timeframe each week. Agreed upon rents are paid in full to the Studio on the first of the month.


The Studio will make every effort to promote and market the Sole Practitioner’s services but ultimately, it is the Sole Practitioner’s responsibility to build their practice. Sole Practitioners are required to carry their own insurance and handle waivers with their clients directly.

Sole Practitioner/Instructor/Facilitator Payment

Sole Practitioners/Instructors/Facilitators are considered independent contractors and are not employed by the Studio. All Sole Practitioners/Instructors/Facilitators will need a W9 on file if they are not renting the Studio space by the hour, ½ day or day and are choosing the 30% - 70% investment model outlined above. Alternately, if you are booking the workshop/event on your website then your rent will be 30% of your gross earnings for the workshop/event. If the Studio is handling booking your workshop/event, payments are processed through the Square system and while we make every effort to avoid mix ups, inaccurate tracking may occur and affect class payment. If a Sole Practitioner/Instructor/Facilitator believes there is a payment inaccuracy, they should inform the Studio owner via phone or email so that it can be resolved.


All payments are made by check at the end of each workshop/event and can be picked up/dropped off at the Studio or mailed.

Insurance

The Sole Practitioner/Instructor/Facilitator understands that she/he/they are not covered by the Studio insurance policies. It is solely the responsibility of the Sole Practitioner/Instructor/Facilitator to determine and obtain what she/he/they feel is adequate insurance for their practice/workshop/event.

Merchandise

The Studio will happily display, promote and sell the Sole Practitioner’s/Instructor’s/Facilitator’s merchandise (jewelry, cards, books, etc.) upon agreement with the Sole Practitioner/Instructor/Facilitator and will retain 25% commission on merchandise sold. Alternately, the Studio will happily purchase a number of items at a wholesale price to display, promote and sell in Studio.

Media

The Studio reserves the right to take any recordings of the Sole Practitioner/Instructor/Facilitator during the course of the classes (photographs, videos, or any other audio visual recordings), and the Sole Practitioner/Instructor/Facilitator accepts that all rights whatsoever arising in the recordings shall be solely owned by the Studio. The Sole Practitioner/Instructor/Facilitator accepts and agrees that any recordings may be used by the Studio at its discretion, including but not limited to its website, promotional materials, and advertising.

Promotional & Copyright

The Studio reserves all copyright which may subsist in the products of, or in connection with, the provision of all classes, activities, services or facilities.


If the Sole Practitioner/Instructor/Facilitator is engaged in the promotion of or co-production of the classes, it is necessary for the Studio to see and approve all marketing messages and communications. Soul Focus Studio is the name of the physical studio space but Soul Focus Coaching & Wellness, LLC is the actual business name. We are happy to provide images of our space for promotional materials. The business logo was designed for us and should be used in the exact form that we provide to you and only to advertise and promote our programs, products, and services.

Creating High Quality Experiences

  • Please be in the Studio at least 10 minutes prior to the start of your workshop/event. If you have things to set up, please arrive at least 30 minutes prior to your event.

  • Please go over the class format and guidelines with participants prior to starting your workshop/event.

  • Sole Practitioners/Instructors/Facilitators are asked to deliver classes that are safe for all levels and to communicate modifications in a supportive manner.

  • We ask that if you are using music, you keep your selections appropriate and inspiring to participants.

  • If you notice an issue with the temperature in the Studio, please notify the Studio owner immediately by text so that she can adjust it for you.

Your experience at the Studio is important to us. We appreciate your honest feedback so that we can continue to learn and grow. Our goal is to provide high quality wellness workshops and events for our community and we are grateful for your collaboration.

Agreement & Signature

By signing below, I, have reviewed the Sole Practitioner/Instructor Facilitator Agreement between myself and Soul Focus Coaching & Wellness, LLC dba Soul Focus Studio (hereafter Soul Focus Studio). I understand that my participation as a Sole Practitioner/Instructor/Facilitator at Soul Focus Studio is contingent upon my adherence to the policies outlined in this agreement.


I understand that a Sole Practitioner/Instructor/Facilitator at Soul Focus Studio is an Independent Contractor and/or renter who is not employed by nor an agent of Soul Focus Coaching & Wellness, LLC or Soul Focus Studio by virtue of this agreement.


The Sole Practitioner/Instructor/Facilitator is not an employee or agent of Soul Focus Studio and is not authorized to bind Soul Focus Studio or incur any obligations on behalf of Soul Focus Studio.
